Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Merchant," "you," or "your") and Bolrach Technologies Limited, trading as Crezaro ("Crezaro," "we," "us," or "our"), governing your use of the Crezaro payment services platform, APIs, dashboards, and related services (collectively, the "Services").

By creating an account, accessing our APIs, or using any part of our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Definitions

"Account" means the Crezaro merchant account created by you to access the Services.

"API" means the Crezaro application programming interfaces, SDKs, libraries, and related documentation.

"Customer" means any end-user or payer who initiates a payment transaction through the Services on your behalf.

"Payment Method" means any payment instrument accepted through the Services, including but not limited to credit cards, debit cards, bank transfers, USSD, and mobile money.

"Settlement" means the transfer of funds from processed transactions to your designated bank account.

"Transaction" means any payment, refund, chargeback, or other financial operation processed through the Services.

2. Eligibility and Account Creation

2.1 Eligibility

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the entity you represent. You must be a registered business or sole proprietorship in a jurisdiction where we operate (Nigeria, United Kingdom, Canada, or the United States).

2.2 Account Registration

When creating an account, you must provide accurate, current, and complete information. You agree to maintain and promptly update this information. You are responsible for all activity that occurs under your account and must keep your API keys and credentials secure. You must notify us immediately of any unauthorised access.

2.3 Know Your Customer (KYC)

You must complete our identity verification and business verification (KYB) processes before processing live transactions. This may include providing government-issued identification, business registration documents, proof of address, tax identification numbers, and beneficial ownership information, as required by applicable anti-money laundering regulations including but not limited to the Nigerian Money Laundering (Prohibition) Act, the UK Money Laundering Regulations 2017, FINTRAC requirements under the Proceeds of Crime (Money Laundering) and Terrorist Financing Act (PCMLTFA), and US Bank Secrecy Act requirements.

3. Services

3.1 Payment Processing

Crezaro provides payment processing services that enable you to accept payments from your Customers through various Payment Methods. We act as your payment facilitator and processor, not as a bank or deposit-taking institution.

3.2 Settlement

We will settle processed funds to your designated bank account according to the settlement schedule applicable to your account tier and jurisdiction. Standard settlement for Nigerian Naira (NGN) transactions is next business day (T+1). International currency settlements are typically T+2 to T+3. We reserve the right to hold or delay settlement if we reasonably suspect fraudulent activity, regulatory non-compliance, or elevated chargeback risk.

3.3 Refunds and Chargebacks

You may initiate refunds through the Services dashboard or API. You are responsible for all chargebacks and disputes initiated by Customers against your transactions. We will debit chargeback amounts and any applicable chargeback fees from your settlement balance or designated bank account.

3.4 API Access

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use our API in accordance with our API documentation. You must not exceed rate limits, reverse-engineer the API, or use it for any purpose not contemplated by these Terms.

4. Fees

4.1 Transaction Fees

You agree to pay the transaction fees applicable to your pricing plan as set out on our pricing page or in a separate written agreement. Transaction fees are deducted from settlement amounts before disbursement. We may update our fee schedule with thirty (30) days' prior written notice.

4.2 Additional Fees

Additional fees may apply for chargebacks, cross-border transactions, currency conversion, expedited settlement, and premium features. All fees are exclusive of applicable taxes, which will be charged where required by law.

4.3 Taxes

You are responsible for determining and paying all taxes applicable to your use of the Services, including but not limited to VAT, GST, sales tax, and withholding tax as required in your jurisdiction.

5. Prohibited Activities

You must not use the Services for any illegal purpose or in violation of any applicable law or regulation. Without limitation, the following activities are prohibited:

  • Processing transactions for goods or services listed in our Acceptable Use Policy
  • Money laundering, terrorist financing, or sanctions evasion
  • Processing transactions on behalf of third parties without our written approval
  • Submitting fraudulent, unauthorised, or manipulated transactions
  • Circumventing security measures, rate limits, or access controls
  • Using the Services to facilitate pyramid schemes, Ponzi schemes, or multi-level marketing
  • Processing transactions involving virtual currencies or crypto-assets unless specifically authorised in writing

6. Compliance and Regulatory

6.1 Applicable Laws

You must comply with all applicable laws and regulations in your jurisdiction, including but not limited to:

  • Nigeria: Banks and Other Financial Institutions Act (BOFIA) 2020, CBN Guidelines on Electronic Payments, Nigerian Data Protection Regulation (NDPR), Money Laundering (Prohibition) Act
  • United Kingdom: Payment Services Regulations (PSRs) 2017, Electronic Money Regulations 2011, UK GDPR and Data Protection Act 2018, Money Laundering Regulations 2017
  • Canada: Proceeds of Crime (Money Laundering) and Terrorist Financing Act (PCMLTFA), Retail Payment Activities Act (RPAA), Personal Information Protection and Electronic Documents Act (PIPEDA), and applicable provincial legislation
  • United States: State Money Services Business (MSB) regulations, Bank Secrecy Act (BSA), applicable state money transmitter laws, Gramm-Leach-Bliley Act (GLBA)

6.2 PCI-DSS Compliance

If you handle card data directly, you must maintain Payment Card Industry Data Security Standard (PCI-DSS) compliance. Use of our hosted checkout or payment elements satisfies most PCI requirements, but you must complete the applicable Self-Assessment Questionnaire (SAQ) for your integration method.

6.3 Card Network Rules

You must comply with the operating rules of Visa, Mastercard, and other applicable card networks. Violation of card network rules may result in fines that will be passed through to you.

7. Dispute Resolution

7.1 Chargeback Process

When a Customer initiates a chargeback, we will notify you and provide the opportunity to submit evidence in response. You must respond to chargeback notifications within the timeframe specified. Failure to respond will result in the chargeback being resolved in favour of the Customer.

7.2 Disputes Between You and Crezaro

Any dispute arising out of or relating to these Terms shall first be subject to good-faith negotiation between the parties for a period of thirty (30) days. If the dispute is not resolved through negotiation, it shall be settled by arbitration in accordance with the rules of the Lagos Court of Arbitration (for Nigerian merchants), the London Court of International Arbitration (for UK and European merchants), or the Canadian Arbitration Association (for Canadian and US merchants).

8. Limitation of Liability

8.1 Maximum Liability

To the maximum extent permitted by law, Crezaro's total cumulative liability to you for any and all claims arising out of or related to these Terms or the Services shall not exceed the total fees paid by you to Crezaro in the twelve (12) months preceding the claim.

8.2 Exclusion of Damages

In no event shall Crezaro be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, data, business opportunities, or goodwill, even if advised of the possibility of such damages.

8.3 Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, strikes, government actions, infrastructure failures, or failures of third-party service providers.

9. Data Handling

Our collection, use, and protection of personal data is governed by our Privacy Policy. Where we process personal data on your behalf, we do so in accordance with our Data Processing Agreement. You are responsible for ensuring that you have obtained all necessary consents and legal bases for the personal data you transmit to us through the Services.

10. Intellectual Property

All intellectual property rights in the Services, including the API, documentation, trademarks, and software, are and remain the property of Crezaro. These Terms do not grant you any rights to use our trademarks, brand assets, or proprietary technology except as expressly permitted for the purposes of using the Services.

11. Termination

11.1 Termination by You

You may close your account at any time by contacting us. You will remain responsible for all pending transactions, chargebacks, and fees incurred prior to termination. We will settle any remaining balance to your designated bank account, subject to applicable holds and reserves.

11.2 Termination by Crezaro

We may suspend or terminate your access to the Services immediately if: (a) you breach these Terms; (b) we are required to do so by law, regulation, or court order; (c) your account poses an unacceptable risk of fraud, chargebacks, or regulatory non-compliance; (d) your KYC/KYB information is found to be false or materially misleading; or (e) you become insolvent or cease to carry on business.

11.3 Effects of Termination

Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive termination (including sections on fees, liability, dispute resolution, and data handling) shall continue in full force and effect.

12. Modifications

We reserve the right to modify these Terms at any time. We will provide at least thirty (30) days' advance notice of material changes via email or through the Services dashboard. Your continued use of the Services after the effective date of any modification constitutes acceptance of the modified Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to conflict of law principles, unless you are domiciled in the United Kingdom (in which case English law applies), Canada (in which case the laws of the Province of Ontario apply), or the United States (in which case the laws of the State of Delaware apply).

14. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy, Acceptable Use Policy, Data Processing Agreement, and any applicable order form or pricing agreement, constitute the entire agreement between you and Crezaro.

Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver. No waiver of any provision of these Terms shall be effective unless in writing and signed by both parties.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of our assets.
